Terms of Service:
Merchants

• A.1. Overview.Subject to these Terms, Agentpunkt provides Merchant with access to the Marketplace to host, list, integrate, and sell access to customized AI agents, Agent Skills, and Playbooks to end users ("Buyers").
• A.2. Hosting, Deployment, and OS Integration.Agentpunkt provides the technical infrastructure to host, execute, and stream the Merchant's Digital Offerings. Agentpunkt acts as an intermediary, hosting provider, and execution environment. The Merchant is solely responsible for the code, prompts, logic, rule matrices, parameters, and operational integrity of any agent, skill (for Legalpunkt aOS & Datapunkt aOS), or playbook (for Contracts in Legalpunkt) they list on the Marketplace.
• A.3. Platform Modifications.Agentpunkt may update, modify, or discontinue parts of the Services or operating environments (including Legalpunkt aOS, Datapunkt aOS, or Legalpunkt Contracts integrations) at any time. We will provide reasonable advance notice of any material changes that substantially impact your ability to distribute or monetize Digital Offerings.

• B.1. Compliance and Standards.Merchant must ensure that all listed AI agents, Agent Skills, and Playbooks—including underlying prompts, code modules, custom instructions, rule definitions, and API integrations—comply with all applicable laws and Agentpunkt's platform policies (including our Usage Policy).
• B.2. Prohibited Digital Offerings.Merchant may not list agents, skills, or playbooks designed to:

  • Generate illegal, harmful, or highly deceptive content or execute malicious code within Legalpunkt aOS or Datapunkt aOS runtimes.
  • Provide professional legal, medical, or financial advice without proper disclaimers, or facilitate the unauthorized practice of law through automated playbook redlining.
  • Infringe on the intellectual property, trade secrets, or privacy rights of third parties.
  • Bypass platform security, engage in data exfiltration or scraping, or corrupt contract processing pipelines in Legalpunkt Contracts.
• B.3. Offering Integrity & Maintenance.While Agentpunkt handles platform-level billing and technical infrastructure support, Merchant is responsible for accurately describing the capabilities of their agents, skills, and playbooks, testing compatibility with Legalpunkt aOS, Datapunkt aOS, and Contracts in Legalpunkt, and providing functional updates to maintain quality as advertised to Buyers.

• C.1. Pricing Models.Merchant has the right to set the price for their AI agents, Skills, and Playbooks within allowed platform parameters (e.g., monthly subscriptions, pay-per-use/execution, per-seat licensing, or one-time purchases).
• C.2. Marketplace Fees.Agentpunkt retains a commission fee ("Platform Fee") on all transactions and usage executions processed through the Marketplace. The current Platform Fee schedule is available on the Merchant Dashboard. Agentpunkt remits the net payout to the Merchant.
• C.3. Payouts.Payouts will be issued to the Merchant's designated bank account or payment method according to the platform's payout schedule (e.g., monthly), subject to minimum payout thresholds.
• C.4. Taxes.Merchant is responsible for determining and paying any applicable income, sales, VAT, or other taxes resulting from earnings on the Marketplace across all Digital Offerings. Agentpunkt handles collection and remittance of transactional taxes where required by law.

• D.1. Merchant Intellectual Property.Merchant retains all intellectual property rights in the proprietary prompts, instructions, custom code modules, execution logic for Skills (Legalpunkt aOS / Datapunkt aOS), and structured rule matrices/decision trees for Playbooks (Contracts in Legalpunkt) that they create ("Merchant Content").
• D.2. License to Agentpunkt.By listing an agent, skill, or playbook, Merchant grants Agentpunkt a worldwide, non-exclusive, royalty-free license to host, display, execute, integrate within Legalpunkt aOS, Datapunkt aOS, and Contracts in Legalpunkt, promote, and distribute the offering on the Marketplace to fulfill transactions with Buyers.
• D.3. License to End Users (Buyers).Upon purchasing access to a Merchant's agent, skill, or playbook, the Buyer receives a limited, non-transferable right to invoke, execute, and utilize the offering within their authorized Legalpunkt/Datapunkt environments subject to Buyer terms.
• D.4. Agentpunkt Intellectual Property.Agentpunkt retains all rights to the Marketplace infrastructure, platform code, runtime engines (Legalpunkt aOS, Datapunkt aOS, Legalpunkt Contracts), branding, and base AI models. Merchant may not use Agentpunkt's trademarks without prior written consent.

• E.1. Buyer & Document Data Processing.When Buyers interact with a Merchant's agent, execute a Skill in Legalpunkt aOS or Datapunkt aOS, or evaluate documents using a Playbook in Legalpunkt Contracts, the processing of personal and corporate data is governed by our Privacy Policy.
  • If the agent, skill, or playbook operates entirely within Agentpunkt's hosted environment (including secure sandboxes for Legalpunkt aOS, Datapunkt aOS, and Legalpunkt Contracts), Agentpunkt acts as the Data Controller for platform telemetry and intermediary processing.
  • If the Merchant configures a Digital Offering to transmit Buyer data or contract contents to the Merchant's external servers (e.g., via external API calls in custom Skills), the Merchant acts as an independent Data Controller for that data and must provide their own Privacy Policy compliant with GDPR and applicable laws.
• E.2. Data Processing Agreement (DPA).To the extent that Agentpunkt processes personal data on behalf of the Merchant to provide the Services, the terms of our Merchant Data Processing Agreement (DPA) will apply and are incorporated by reference.

• F.1. Confidential Information."Confidential Information" means any business or technical information disclosed by one party to the other that is designated as confidential or should reasonably be understood to be confidential.
• F.2. Obligations.The receiving party will use the same degree of care to protect the disclosing party's confidential information as it uses to protect its own, but no less than reasonable care. The receiving party will not disclose confidential Information to any third party except to its employees, contractors, and advisors who need to know it and are bound by confidentiality obligations.

• G.1. Term.These Terms commence on the Effective Date and continue until terminated by either party.
• G.2. Termination for Convenience.Either party may terminate these Terms at any time with 30 days' written notice.
• G.3. Suspension and Removal.Agentpunkt reserves the right to immediately suspend a Merchant's account or remove specific agents, skills, or playbooks from the Marketplace without prior notice if the Merchant breaches these Terms, violates our Usage Policy, or if the Digital Offering poses a security, legal, or reputational risk to Agentpunkt or its users.
• G.4. Effect of Termination.Upon termination, Merchant's agents, skills, and playbooks will be removed from the Marketplace. Agentpunkt will fulfill any final payouts owed to the Merchant for sales completed prior to termination, minus any applicable fees or refunds.

Merchant will defend, indemnify, and hold harmless Agentpunkt, its affiliates, and their respective personnel from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Merchant's breach of these Terms.
• The design, code, execution logic, outputs, or legal/operational recommendations of the Merchant's agents, skills, or playbooks.
• Merchant's violation of any applicable law or the rights of any third party (including intellectual property or privacy rights).
