Master Terms of Service governing user accounts, subscriptions, intellectual property, disclaimers, and legal liabilities across Legalpunkt aOS, Datapunkt aOS, and the Agentpunkt Marketplace.

Important Notice Concerning Legalpunkt aOS & Software Services

Agentpunkt Marketplace ("Agentpunkt", "Company", "we", "us") provides artificial intelligence software solutions, including Legalpunkt aOS and Datapunkt aOS. Agentpunkt is NOT a law firm, does not engage in the practice of law, and does not provide formal attorney representation or legal advice. All legal search outputs, contract redlines, playbook executions, and legal artifacts generated by Legalpunkt aOS are software-assisted productivity tools. Licensed legal professionals, law firms, and corporate users remain strictly responsible for reviewing, validating, and verifying all legal work product prior to client reliance or judicial submission.

These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between you (individually, or on behalf of the entity you represent, "User", "you", or "your") and Agentpunkt Marketplace governing your access to and use of our websites, APIs, mobile applications, software runtimes, enterprise operating systems—including Legalpunkt aOS and Datapunkt aOS—and the Agentpunkt Marketplace (collectively, the "Services").

BY CREATING AN ACCOUNT, SUBSCRIBING TO A PLAN, ACCESSING OR USING ANY PORTION OF THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM ACCESSING OR USING THE SERVICES.

Note for Third-Party Developers & Merchant Sellers: If you build, list, license, or sell artificial intelligence agents on the Agentpunkt Marketplace, your seller activities are additionally governed by our Terms of Service: Merchants.

1. Account Eligibility, Registration & Enterprise Seats

  • 1.1 Eligibility & Organizational AuthorityYou must be at least 18 years of age or the legal age of majority in your jurisdiction to form a binding contract. If you access or use the Services on behalf of a law firm, corporate legal department, enterprise organization, or legal entity, you represent and warrant that you possess full legal authority to bind that entity to these Terms.
  • 1.2 Account Credentials & Multi-Seat ManagementYou are required to register an account with accurate, complete, and verifiable information. You may not share individual login credentials. Multi-user corporate environments must manage team access via designated seat licenses and Role-Based Access Control (RBAC). You are solely responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.

2. Scope of Operating Systems & Professional Disclaimers

2.1 Legalpunkt aOS Specific Terms & Bar Compliance

Legalpunkt aOS provides specialized AI software tools for legal search, legal project management, legal contract analysis, contract redlining, legal playbooks, legal skills execution, legal artifact creation, and legal billing tracking.

  • No Unauthorized Practice of Law (UPL): Legalpunkt aOS is designed to assist licensed attorneys, paralegals, in-house legal departments, and authorized legal operators. Use of Legalpunkt aOS does not establish an attorney-client relationship between Agentpunkt and any user or third party.
  • Mandatory Human Review: Artificial intelligence models are probabilistic. Legalpunkt aOS outputs may contain inaccuracies, omissions, or unverified legal interpretations. Users remain exclusively responsible for verifying all case law, statutory citations, contract redlines, and legal filings against official authoritative sources prior to judicial submission or commercial execution.

2.2 Datapunkt aOS Specific Terms & Staging Mandate

Datapunkt aOS provides automated tools for database metadata extraction, code generation, data mapping, data lineage tracking, data modeling, synthetic data generation, and IT data support.

  • Staging Environment Verification Mandate: Generated SQL queries, Python scripts, DDL statements, and data pipeline transformations must be thoroughly reviewed and tested in non-production staging environments before being executed against production databases. Agentpunkt bears no liability for database corruption, schema lockups, or data loss resulting from unverified script execution.

2.3 Agentpunkt Marketplace Terms

The Agentpunkt Marketplace allows users to discover, license, and hire specialized third-party and native AI agents. While Agentpunkt enforces listing guidelines, third-party agents are configured independently by third-party merchant developers. Agentpunkt does not guarantee third-party agent uptime or specific performance outcomes.

3. Intellectual Property Rights & Ownership Grants

3.1 User Ownership of Inputs & Generated Outputs

As between you and Agentpunkt, you retain 100% full ownership of all legal documents, contracts, prompts, database schemas, and data files you upload ("Inputs"), as well as all generated contract redlines, legal research syntheses, code scripts, synthetic datasets, and legal artifacts ("Outputs"). Subject to your compliance with these Terms, Agentpunkt hereby assigns to you all its right, title, and interest in and to generated Outputs.

3.2 Platform Proprietary Rights & Trade Secrets

Agentpunkt retains exclusive ownership of all right, title, and interest in and to Legalpunkt aOS, Datapunkt aOS, platform architecture, pre-built legal skills, playbooks, operating system runtimes, user interfaces, trademarks, domain names, software code, and proprietary trade secrets.

4. Subscription Plans, Pricing, Credits & Billing Terms

  • Recurring Billing Cycles: Paid subscriptions for Legalpunkt aOS, Datapunkt aOS, or Marketplace agent seat licenses are billed in advance on a recurring monthly or annual basis. Subscriptions automatically renew unless cancelled at least 24 hours prior to the end of the current billing cycle.
  • AI Compute Credits & Metering: Certain deep legal research searches, contract redline executions, or synthetic data operations consume compute credits. Credit consumption rules are detailed in your subscription tier interface. Unused monthly credits expire at the end of each billing cycle unless covered under an enterprise custom contract.
  • Taxes & Payment Processing: All listed fees are exclusive of applicable taxes (e.g., Value Added Tax, Sales Tax). Applicable taxes will be calculated at checkout based on your billing address. Payments are processed via PCI-DSS compliant third-party payment gateways.

5. Warranties Disclaimer, Liability Caps & Indemnification

5.1 DISCLAIMER OF ALL WARRANTIES

EXCEPT AS EXPRESSLY PROVIDED IN WRITTEN ENTERPRISE SERVICE LEVEL AGREEMENTS (SLAS), THE SERVICES, INCLUDING LEGALPUNKT AOS, DATAPUNKT AOS, AND THE AGENTPUNKT MARKETPLACE, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR LEGAL OR TECHNICAL PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

5.2 LIMITATION OF AGGREGATE LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AGENTPUNKT, ITS DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES—INCLUDING LOSS OF PROFITS, LOSS OF LEGAL CLIENT FEES, CONTRACTUAL DAMAGES, DATA CORRUPTION, OR REPUTATIONAL HARM—ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. AGENTPUNKT'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO AGENTPUNKT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

5.3 User Indemnification Obligation

You agree to defend, indemnify, and hold harmless Agentpunkt, its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, costs, or attorney's fees arising out of or related to: (a) your breach of these Terms or Usage Policy; (b) your Inputs or legal work product; (c) your reliance on Legalpunkt aOS outputs in judicial proceedings or client representations; or (d) your execution of Datapunkt aOS code against production database infrastructure.

6. Governing Law, Dispute Resolution & Arbitration

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the European Union member state in which Agentpunkt maintains its principal place of business, without giving effect to any choice of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, breach, termination, or validity thereof, shall be submitted to final and binding arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC) by one arbitrator appointed in accordance with said Rules. The place of arbitration shall be specified in your enterprise contract, and the language of arbitration shall be English.
